1. Agreement to Terms

Welcome to Edxel, operated by Gadnova Systems Ltd (RC: 8886377, DUNS: 669823054). These Terms of Service ("Terms") govern your access to and use of the Edxel mobile application and website (collectively, the "Platform").

By accessing or using Edxel, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Platform.

IMPORTANT: These Terms contain an arbitration clause and class action waiver that affect your legal rights. Please read carefully.

2. Definitions

• "Platform" refers to the Edxel mobile application and website
• "User" refers to any person who accesses or uses the Platform
• "Parent" refers to a user seeking tutoring services for their child
• "Tutor" refers to a user providing tutoring services
• "Session" refers to a scheduled tutoring appointment
• "We," "Us," "Our" refers to Gadnova Systems Ltd and Edxel

3. Eligibility

To use Edxel, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Not be prohibited from using the Platform under Nigerian law
• Not have been previously suspended or banned from Edxel

By using Edxel, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

4.1 Account Creation

You must create an account to use Edxel. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4.2 Account Types

Parent Accounts: Parents can browse tutors, book sessions, make payments, and communicate with tutors.

Tutor Accounts: Tutors must complete verification (including background checks) before accepting bookings. Tutors can set their rates, availability, and accept/decline booking requests.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Providing false information
• Harmful conduct toward other users
• Any reason at our sole discretion

5. Tutor Verification and Standards

5.1 Verification Requirements

All tutors must complete our verification process, which includes:

• Identity verification (government-issued ID)
• Background check
• Qualification verification (certificates, degrees)
• Reference checks (where applicable)
• Profile review and approval

5.2 Tutor Responsibilities

Tutors agree to:

• Provide accurate information about qualifications and experience
• Maintain professional conduct at all times
• Arrive on time for scheduled sessions
• Check in via GPS at the session location
• Provide quality tutoring services
• Comply with all applicable laws and regulations
• Not engage in inappropriate behavior with students

5.3 Independent Contractors

Tutors are independent contractors, not employees of Edxel. Tutors are responsible for their own taxes, insurance, and compliance with local regulations.

6. Bookings and Payments

6.1 Booking Process

• Parents browse tutor profiles and send booking requests
• Tutors can accept or decline requests
• Once accepted, the booking is confirmed
• Parents receive confirmation and session details

6.2 Payment Terms

Escrow System: Payments are held in escrow until the session is completed:

• Parents pay upfront when booking
• Funds are held securely in escrow
• Tutor checks in via GPS at session location
• Session takes place
• Parent releases payment after session completion
• Funds are transferred to tutor's account

6.3 Service Fees

Edxel charges a service fee on each transaction:

• Parents pay the tutor's rate plus applicable fees
• Tutors receive their rate minus our service commission
• Fees are clearly displayed before booking confirmation

6.4 Cancellation Policy

Parent Cancellations:

• More than 24 hours before session: Full refund
• 2-24 hours before session: 50% refund
• Less than 2 hours before session: No refund

Tutor Cancellations:

• Tutors who cancel confirmed sessions may face penalties
• Parents receive full refunds for tutor cancellations
• Repeated cancellations may result in account suspension

6.5 Refunds and Disputes

If there's an issue with a session:

• Report the issue within 24 hours via the app
• Provide details and evidence (photos, messages, etc.)
• Our support team will investigate
• Refunds are issued at our discretion based on the investigation

7. GPS Check-In System

To ensure accountability and safety:

• Tutors must check in via GPS when arriving at the session location
• GPS data verifies tutor attendance
• Sessions without GPS check-in may not be eligible for payment
• Location data is used solely for verification purposes

8. Communication and Conduct

8.1 In-App Messaging

All communication between parents and tutors must occur through the Edxel app. This:

• Protects both parties
• Provides a record for dispute resolution
• Ensures platform safety and security

8.2 Prohibited Conduct

Users must not:

• Harass, threaten, or abuse other users
• Use offensive, discriminatory, or inappropriate language
• Share personal contact information to circumvent the platform
• Engage in fraudulent or deceptive practices
• Impersonate others or provide false information
• Violate any laws or regulations
• Attempt to hack, disrupt, or damage the Platform

9. Reviews and Ratings

Parents can review and rate tutors after completed sessions:

• Reviews must be honest, accurate, and based on actual experience
• Reviews must not contain offensive, defamatory, or inappropriate content
• We reserve the right to remove reviews that violate our guidelines
• Tutors cannot pay for or manipulate reviews
• Reviews are public and visible to other users

10. Intellectual Property

10.1 Edxel's IP

The Platform, including its design, features, content, and trademarks, is owned by Gadnova Systems Ltd. You may not copy, modify, distribute, or create derivative works without our written permission.

10.2 User Content

By posting content (profiles, reviews, messages), you grant Edxel a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content on the Platform.

11. Disclaimers and Limitations

11.1 Platform "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE UNINTERRUPTED, SECURE, OR ERROR-FREE SERVICE.

11.2 No Employment Relationship

Edxel is a platform that connects parents and tutors. We do not employ tutors and are not responsible for their actions, qualifications, or the quality of tutoring services.

11.3 Background Checks

While we conduct background checks on tutors, we cannot guarantee the accuracy or completeness of such checks. Parents are responsible for their own due diligence.

11.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDXEL AND GADNOVA SYSTEMS LTD SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Actions or omissions of tutors or parents
• Disputes between users
• Unauthorized access to your account

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO EDXEL IN THE PAST 12 MONTHS.

12. Indemnification

You agree to indemnify, defend, and hold harmless Edxel, Gadnova Systems Ltd, and our affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Your conduct as a tutor or parent

13. Dispute Resolution

13.1 Informal Resolution

If you have a dispute, please contact us first at support@edxel.com.ng. We'll work to resolve the issue informally.

13.2 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative proceedings.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts in Lagos, Nigeria.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on the Platform
• Updating the "Last Updated" date
• Sending you an email notification (for significant changes)

Your continued use after changes constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Edxel regarding your use of the Platform.
